Terms & Termination

  1. Term and Termination.

    1. As soon as you accept this Agreement, it will begin and will continue until either we or you terminate it.

    2. It is our right to terminate this Agreement at any time with or without cause by providing you with a termination notice.

    3. By providing us with notice of termination, you are entitled to terminate at any time, with or without cause.

    4. Upon notice of termination by us or you, we will cease selling your Works and give notice to all bookstores through which we are distributing your Works to cancel listings and terminate sales of your Works within 5 business days from the date of notice of termination; it is possible that some bookstores may not immediately cease sales of your Works through which we distribute your Works following receipt of such notice, and, until such bookstores cease sales of your Works, all sales by bookstores through which we distribute your Works following such notice remain subject to these terms.

    5. You agree that, notwithstanding anything herein to the contrary, we or the bookstores through which we distribute your Works may fulfill any orders pending as of the date of termination or suspension.

    6. It is agreed that the following provisions of this Agreement will survive termination of this Agreement.

    7. In the event of termination, we will be entitled to Commissions on all sales completed by us or by bookstores through which we distribute your Works.

  2. Program Eligibility and Registration: Participation in the Program is contingent upon you representing, warranting, covenanting, and agreeing that:

    1. Accept these Terms and our Privacy Policy;

    2. An active Program account must be created and maintained using the online registration process.

    3. A person must be of sound mind and at least 18 years of age or the legal age of majority in his or her place of residence;

    4. As long as you are using the Program, you must ensure that all information you provide to establish your Program account (such as your name, address, and email address) is accurate;

    5. In the case that you are not the full owner of the copyright and other rights to the Works you provide us for distribution, you have all the necessary licenses and consents for us to distribute the Works you provide to us and grant the rights described in Section 15 below if you are not the full owner;

    6. In the event that your account is terminated, you shall not establish a new account;

    7. You shall not use false identities, impersonate anyone else, or use a username or password that you are not authorized to use;

    8. Please authorize us, directly or through third parties, to make any inquiries we deem necessary to verify the information you have provided about your account;

    9. We may send you emails from time to time regarding your participation in the Program;

    10. Regardless of whether you have authorized the activities conducted under your account, you are solely responsible for safeguarding and maintaining the confidentiality of your username and password;

    11. The participation in the Program and agreement to these Terms shall not violate an agreement between you and a third party;

    12. The Program may not be used by any third party through your account, and the account of any third party may not be used by you; and

    13. Any unauthorized use of your username, password, or account will be immediately reported to Ink of Knowledge.

  3. Distribution Rights.

    1. Delivery. To distribute the Works through the Program, you must provide us with a completed manuscript in Microsoft Word or a Word-compatible format. If you do not provide a cover, we will generate one for you.

    2. Formatting. In order to create and format your Works in electronic or print form, we will use your manuscript. In our sole discretion, we will determine the style of such formatting.

    3. Errors. Our company is not responsible for any errors in the manuscript you provide to us as the basis for your work. Before distributing your work to bookstores, we will provide you with a proof copy. Upon receiving the proof copy, it will be your sole responsibility to review it carefully for errors and report them to us. In our discretion, we may limit the number of times we correct errors in proof copies. Upon discovering any errors in the formatting of your Works, our sole responsibility is to correct these errors as soon as we become aware of them.

    4. Rejection of Works. It is our sole discretion to determine what content we accept and distribute through the Program.

    5. As part of our publishing terms and conditions, the publisher reserves the right to depublish or unlist a book from all marketplaces in the event of negative performance or a high rate of returns. This decision may be made to uphold the publisher's reputation and standards, as well as to mitigate potential financial losses. The publisher will communicate such actions transparently to relevant parties and may provide an explanation for the depublishing or unlisting of the book.

  4. Pricing and Program Terms:

    1. For each Work you submit to us, you will provide a retail or list price (the "List Price").

    2. The royalty rates charged by various bookstores are determined by those bookstores and may vary based on the List Price. Despite the fact that we may provide you with information regarding these rates, you are solely responsible for determining the royalty rates paid by online bookstores and setting the List Price, and you are entitled to set any List Price you deem appropriate, as long as it is acceptable to the bookstores through which we distribute.

    3. The List Price you provide will be exclusive of sales, value-added or similar taxes which are assessed in connection with the sales of your Works.

    4. There may be instances in which we need to adjust the List Price of your Works in order to ensure that you do not incur a "negative" royalty, where you lose money on the sale of your Work. In order to bring any resulting negative royalty up to zero, we may automatically adjust the List Price as-needed, without prior notice to you.We will attempt to notify you in advance of any changes to your List Price, but we are not obligated to do so.In the event that the List Price is changed by us, you will receive notification, and you will then have the option of adjusting the List Price to your desired amount by logging into your account. However, your desired List Price must not fall below the minimum unit cost for that particular Work and result in a negative royalty.

  5. Page Limit:

    1. Availability: Books authored with less than 40 pages will be exclusively available for purchase on IOKSTORE. These books will not be listed on any other marketplaces or distribution platforms. The final decision has been reached by our distribution team regarding the distribution of our products.

    2. Non-Returnable Option: Due to the high likelihood of return for books with fewer than 40 pages, all purchases made on IOKSTORE will be considered final and non-returnable. Customers will not have the option to return these books for a refund or exchange.

    3. Transparency: We strive to maintain transparency regarding the availability and return policy of our books. Customers will be informed upfront about the non-returnable nature of purchases made on IOKSTORE for books with less than 40 pages.
